We promise to build high-quality, secure tech, and keep your trade secrets safe. In return, you promise to provide clear requirements, respect our boundaries, and handle payments on time. 1. Our Services & How We Work
We provide custom software development, ERPNext implementation, mobile app creation, and AI workflow automation.
- The Blueprint: Every project we do together will be governed by a specific project proposal, Statement of Work (SOW), or Master Services Agreement (MSA). Those documents will lay out the exact timelines, deliverables, and costs.
- Scope Changes: Tech projects naturally evolve. If we need to add new features mid-project that weren’t in the original plan, we will discuss the cost and timeline changes openly before writing a single line of code.
2. Who Owns the Code? (Intellectual Property)
We believe in fairness when it comes to ownership.
- Your Custom Tech: Once a project is completed and paid for in full, the custom code, custom design assets, and workflows we built specifically for your business belong to you.
- Our Internal Tools: We retain the rights to our pre-existing code libraries, base frameworks, and developer tools that we use across multiple clients to keep development fast and efficient.
- Open-Source Contributions: Because we work extensively with tools like ERPNext, any contributions, forks, or fixes made directly to upstream open-source software are bound by their respective open-source licenses (like GNU GPL).
3. Mutual NDA & Absolute Confidentiality
Because we manage ERP systems, financial workflows, and AI training data, we treat confidentiality as a default setting, not an afterthought. Consider this our formal, handshake agreement:
- What We Protect: We will have access to your proprietary business logic, financial metrics, customer databases, and strategic plans. We will never share, leak, or sell this information to anyone, ever.
- What You Protect: You will have access to our proprietary development frameworks, methodologies, and commercial pricing structures. You agree to keep these internal to your team.
- The AI Exception: If we are building AI systems for you, your data is completely isolated. We will never upload your confidential business data to public AI models for general training purposes.
4. Payments, Invoices & Taxes
We like to keep financial boundaries clear so there are no awkward surprises.
- Payment Terms: We invoice according to the milestones agreed upon in your SOW. Payment is due within 15 days of the invoice date.
- Taxes: Because we are registered in Anand, Gujarat, Indian clients will see standard GST applied to their invoices. International clients are responsible for any applicable local import taxes or withholding fees.
- Delays: If an invoice is significantly overdue and we haven’t worked out a pause agreement, we reserve the right to temporarily halt development until things are squared away.
5. Client Responsibilities (What We Need From You)
Great software requires teamwork. To stay on schedule, we need you to:
- Provide timely access to the systems, APIs, internal documentation, or staging server environments required for the project.
- Designate a single point of contact who can make final decisions and give feedback on designs or builds within a reasonable timeframe (usually 3–5 business days).
- Ensure all data, assets, and copy you provide us are accurate and legally yours to use.
6. Bug Warranties & Post-Launch Support
Software is alive, and the digital ecosystem changes fast. We stand behind our work with clear boundaries on support:
- The 30-Day "Safety Net" Warranty: The moment your system goes live, our 30-day complementary warranty kicks in. We will fix any core deployment bugs, broken buttons, or system hitches that deviate from our original agreement at absolutely zero extra cost to you.
- What Counts as a Bug? A bug is when code we wrote doesn't perform the action it was explicitly designed to do in the SOW. If you want to change how a feature works, add a new field to your ERPNext dashboard, or integrate a brand new API, that counts as a Feature Request and will be scoped separately.
- Ongoing Support & Service Level Agreements (SLAs): Once the 30-day warranty expires, you can transition to one of our monthly retainer support plans. These plans guarantee technical availability for regular server maintenance, security patches, ERP system updates, and priority troubleshooting response times (e.g., resolving critical server issues within 4–8 hours).
7. Limitations of Liability & Third-Party Tech
- External Systems: If an external platform we integrate with (like the WhatsApp Business API, OpenAI, payment gateways, or your cloud provider like AWS/DigitalOcean) changes their API rules, experiences downtime, or updates their terms, we will help you adapt, but we cannot be held legally or financially responsible for their interruptions.
- Financial Cap: In no event will our total financial liability exceed the total amount you actually paid us for the specific project or milestone causing the issue.
8. Ending the Partnership
If things aren't working out, either of us can terminate the active project by giving 30 days written notice. If a project is cancelled early, you will be responsible for paying for all milestones completed and hours worked up to the termination date, and we will hand over whatever work has been completed and paid for.
9. Governing Law
We are proudly based in Anand, Gujarat, India. Any official legal disagreements that cannot be solved through a friendly conversation will be handled under the jurisdiction of the courts in Anand/Gujarat.
